      This contract is made by and between the Buyer and the Seller, whereby the Buyer agrees to buy and the Seller agrees to sell the under mentioned goods to the Buyer on the terms and conditions stated as below:     

      本合同由買賣雙方共同擬定。依據(jù)如下條件與條款,買方同意購買,賣方同意出售下列貨物:

      The terms used in this contract 合同中的術語

      The following terms are used and the meanings or terms or explanations provided against each shall mean the same as the terms. Whereever the terms are not explained, it is deemed that they are used in the perfect sense of Mercantile Business Transactions and shall mean the same.

      以下術語的使用,含義或解釋是一致的。如果有些地方?jīng)]有解釋,按商業(yè)交易業(yè)務的有關慣例執(zhí)行。

      Chemical formula or symbols as per the Mendeleev’s periodic table whereever used shall mean the same as their chemical name.

      表格中的化學分子式或符號和它們的化學名稱有相同的意思。

      1.“Ore” means Iron Ore of Malaysia Origin “礦”指原產(chǎn)于馬來西亞的鐵礦石

      2.“USD”, “U.S. Currency” means the currency of the United States of America freely transferable from and payable to an external account美金,美國貨幣指的是美國可以流通的和對外賬戶使用的貨幣

      3.“MT” means Metric Ton  “MT”指公噸

      4.“Wet Basis” means ore in its natural wet state. WMT means Wet Metric Ton“濕公噸”指的是礦自然狀態(tài)的重量。“WMT”指濕公噸

      5.“Dry Basis” means ore dried at 105 degrees Centigrade. “DMT” means Dry Metric Ton and calculated as “WMT MULTIPLY X 1-Moisture Content %”“干公噸”指的是礦在105攝氏度干燥后的重量.“DMT”指干公噸,并按照“濕公噸 X 1-水份含量%”計算,

      6.“VESSEL” means vessel, which is suitable for entering and leaving when loaded the discharging port always safely afloat and for discharging portVESSEL指在裝貨情況下適合駛?cè)肱c駛離卸貨港的可在海上安全航行的船

      CLAUSE1 : Thailand Iron Ore Fines 條款一: 鐵礦砂

      Name of Commodity: Iron Ore Fine     產(chǎn)品名稱:鐵礦砂

      Country of Origin: Malaysia. 原產(chǎn)地:馬來西亞

      Port of Loading:   Kuantan Port, Malaysia.   裝貨港:關丹港,馬來西亞

      Port of Destination: DanDong Port, China.   目的港:中國丹東港

      CLAUSE 2:  DELIVERY PERIOD AND QUANTITY條款二: 交貨期和數(shù)量

      Delivery Period:    On or Before Apr.30, 2014( 2014年4月30日或之前)

      Quantity 數(shù)量:    30,000 +/-10% WMT    (30,000+/- 10%濕公噸)

      The total shipment quantity is 30,000 +/-10% WMT, and partial shipment is not allowed.10% more or less delivery at Seller’s option on vessel is allowed. Seller shall notify Buyer such more or less delivery.

      貨物總量 10,000濕公噸,不允許分批出貨.賣方裝載的重量加或減10%是被允許的, 對此數(shù)量的增減賣方應通知買方.

      CLAUSE 3:   SPECIFICATIONS 條款三: 成分規(guī)格表

      A. Chemical Composition ON DRY BASIS 化學組成 干基

         PERCENTAGE BY WEIGHT 重量百分比

      B. MOISTURE CONTENT 水分含量

      Free moisture content loss at 105 degrees Centigrade shall be 10.0% max.105攝氏度時水分自由流失最多是8.0%.

      CLAUSE 4:  BASE PRICE條款四: 基本價格

      Base Price: USD 57.6.00 per DMT, CFR FO CQD Longkou Port, China, based on 48% Fe content Dry Basis.

      基礎價格是 USD 57.6.00 美元/干公噸 CFR 船方不負擔卸貨, 按港口習慣速度,中國主要港口 ,且基于含鐵量(Fe)48.00% 干基.

      CONTRACT VALUE 合同金額       USD 1,589,760.00.

      CLAUSE 5:  PRICE ADJUSTMENT條款五: 價格調(diào)整

       Fe Content 鐵含量In respect of iron ore which does not meet the Fe specifications as set forth in Clause 3 of this Contract, the Base Price referred to Clause 4 of this Contract, shall be adjusted in accordance with Fe content as determined pursuant to the provisions of Clause 9 as follows:

      如果鐵礦砂不符合此合同第三條鐵礦性的規(guī)定,基本價格此合同第四條要按照合同第九條檢查的結(jié)果調(diào)整如下:

      PRICE INCREASE / DECREASE 價格增加 / 扣減

      The Base Price shall be increased by USD2.00/DMT for every 1.0% Fe content above 48.00%, fractions pro-rata.

      當含鐵量高于48.00%但低于51%時, 每增加 1.0%鐵時, 基礎價格將增加2.00美元/干公噸,按比例調(diào)整。 

      The Base Price shall be decreased by USD2.00/DMT for every 1.0% Fe content below 48.00% but above 46? content, fractions pro-rata. If Fe below 46.00%,The buyer has the right to reject the cargo.

      當含鐵量低于48%但大于46%時,鐵每降低1.0%, 基礎價格將扣減2.00美元/干公噸,按比例調(diào)整。若鐵小于46%。買方有權(quán)拒收貨物。

      Other Elements: 其它化學成份

      If the shipment does not meet any of the chemical specifications provided in Clause 3 A, the base price shall be reduced as follows, fractions pro-rata:

      如果裝運的貨物成分不符合此合同第3條A描述的化學成分含量,基本價格按如下扣減,小數(shù)部分按比例折算。

      1For excess of Silica SiO2 二氧化硅超量

      At the rate of USD 0.10/ DMT for each 1.00% in excess of 10.00%.

      二氧化硅超出10.00%,每超1%,扣USD0.10/干公噸.

       excess of Alumina Al2O3 三氧化二鋁超量

      At the rate of USD 0.10/ DMT for each 1.00% in excess of 7%.

      三氧化二鋁超出7%,每超1%,扣USD0.10/干公噸.

      excess of Sulphur S 硫超量

      At the rate of USD 0.05/ DMT for each 0.01% in excess of 0.25%.

      硫超出0.25%,每超出0.01%扣USD0.05/干公噸.

      excess of Phosphorus P 磷超量

      At the rate of USD 0.05/ MT for each 0.01% in excess of 0.3%.

      磷超出0.3%,每超出0.01%扣USD0.05/公噸.

      CLAUSE 6:  PAYMENT 條款六: 付款

      A Provisional payment 98%首款

      Within 20 banking days after signing of this contact, not later than May 30,2014,the Buyer shall make the payment by telegraphic transfer in the amount of USD sufficient to cover ninety-eight percent98% of the CFR FO cargo value which is based on loading port results.This payment shall be payable at sight into a bank account to be advised by seller.

      買方應在合同簽訂后20個工作日,最遲不得晚于2014年5月30日,將98%總貨款電匯支付至賣方指定的銀行賬戶,貨款依據(jù)裝港檢測指標計算。

      Documents of provisional payment: 臨時付款隨附單據(jù):

      The selller shall send the documents stated in clause 7 I to the buyer after 5 days of signing this contract。

      賣方應在合同簽訂后5個工作日內(nèi)將條款7.1所列單據(jù)寄給買方.

      B 2% Balance Payment 2%尾款

      Balance Payment shall be payable at sight by telegraphic transfer against presentation of Seller's draft together with the documents stated in Clause 7II  within 60 days after the date of unloading. Final “commercial invoice” value to be based on CIQ’s certificates of shipment inspection as provided in Clause 8 and 9. If CIQ’s certificates are not provided by the Buyer within 60 days after unloading at destination port, the load port SGS Certificates will be final and binding for Balance Payment and final settlement

      剩余的2%尾款, 由賣方憑匯票及合同第七條之II 所列文件于卸貨后60天內(nèi),電匯付款。最終商業(yè)發(fā)票金額依據(jù)按合同條款8和9所列的CIQ證明計算. 若買方未能在目的港卸貨后60天內(nèi)提供CIQ證明, 裝載港的SGS證明將作為剩余尾款支付及最終結(jié)算的依據(jù)。

      CLAUSE7 : I DOCUMENTS FOR PROVISIONAL PAYMENT 條款七: 暫定付款文件

      AFull set of "Clean on Board" shipped Bill of Lading made out to order, blank endorsed marked "Freight Prepaid" , notifying Buyer.

      全套已裝船的清潔海運提單,憑指示,空白背書,注明“運費已付”,通知買方.

      BProvisional Invoice in 1 One originals and 3 Three copies indicating the contract number, B/L number and name of the carrying vessel.

      暫定商業(yè)發(fā)票1一份正本3三份副本, 注明合同號碼, 提單號碼和船名.

      CCertificate of Quality in 1 original and 3 copies issued by SGS in Malaysia, showing the actual chemical composition and all other tests.

      SGS出示的質(zhì)量證明1份正本3份復印件, 表示出化學成份分析及合同上其他該有的測試結(jié)果.

      DCertificate of Weight in 1 original and 3 copies issued by SGS in Malaysia, certifying the actual surveyed weight of cargo shipped at load port.

      SGS在裝貨港重量證明1份正本3份復印件.

      ECertificate of Origin in 1 original and 2 copies with shipper’s name and consignee’s name made out to order.

      原產(chǎn)地證明1份正本2份副本,依指示標示發(fā)貨人與收貨人.

      II DOCUMENTS FOR BALANCE PAYMENT 尾款付款文件

      AFinal Commercial Invoice in 1 one original. 最終商業(yè)發(fā)票正本1一份.

      B Inspection Certificate of Quality issued by CIQ at destination port in 1 copy.

      中國CIQ提供的,在卸貨港進行的質(zhì)量檢驗證明復印件 1份.

      CInspection Certificate of Weight issued by CIQ at destination port in 1 copy.

      中國CIQ提供的, 在卸貨港進行的重量檢驗證明復印件 1份.

      DCopies of CIQ reports shall be provided by Buyer to Seller within 60 days after the cargo is fully unloaded. In absence to which Seller shall make final commercial invoice as per Load Port report and send to Buyers bank through negotiating bank for payment.

      買方需于貨物完全卸貨后60天內(nèi)提供CIQ檢驗報告給賣方做為余款支付依據(jù),否則賣方有權(quán)以載貨港的檢驗依據(jù)向銀行議付余款.

      CLAUSE 8: WEIGHT  條款八: 重量

      At Loading Port, Seller shall at their expense appoint SGS Malaysia to determine the weight of Iron Ore by draft survey. The weight of Iron Ore ascertained and certified by SGS Malaysia shall be the basis of Seller’s provisional invoice. Buyer may at their expense have their representative present during the draft survey at the loading port.

      在裝貨港, 由賣方付費指定馬來西亞SGS以吃水檢驗方式測量這批鐵礦砂的重量. 馬來西亞SGS確定和認證的鐵礦砂的重量將是賣方暫定發(fā)票的依據(jù),買方可自費派代表參加在裝載港的檢驗。

      At Destination Port, Buyer shall at their expense, apply to CIQ to determine the weight of Iron ore by draft survey. Seller may at their expense have their representative present at the time of such determination.

      在卸貨港, 由買方付費向CIQ申請以吃水檢驗方式測量這批鐵礦砂的重量. 賣方可自費派代表參加在卸貨港的檢驗。

      If any weight differences at loading port and destination port are equal to or less than 0.80% on dry metric ton basis, the dry weight calculated by CIQ’s result at destination port should be used as the basis of final payment.

      如果在裝貨港及目的港的干噸重量差小于0.80%,則根據(jù)CIQ在目的港的測量結(jié)果所算出的干重將作為尾款支付的依據(jù).

      DIf any weight differences at loading port and destination port are more than 0.80% on dry metric ton basis, both parties shall consult to reconcile the difference. If after consultation the difference cannot be reconciled, then the average of the Loading and unloading results shall be used as the basis of final payment.

      如果在裝貨港及目的港的干噸重量差大于0.80%,則買賣雙方進行協(xié)調(diào).如果經(jīng)過協(xié)調(diào),差異無法得到調(diào)和,則平均裝貨港和卸貨港的結(jié)果作為尾款支付的依據(jù).

      CLAUSE 9: SAMPLING & ANALYSIS   條款九: 采樣與分析

      AAt Loading Port, Seller shall at their expense appoint SGS, to determine the specification of Ore content and provide the Certificates showing details of the result and also the percentage of free moisture loss at 105 degree centigrade. The loading port analysis will be the basis of Seller’s Provisional Invoice.

      在裝貨港, 由賣方支付指定SGS檢驗鐵礦成分, 提供證明列出詳情結(jié)果,以及在105攝氏度時水分自由流失的百分比. 在裝貨港分析的報告將被作為賣方開立暫定發(fā)票的依據(jù).

      B The weight, Sampling, Chemical Analysis, Moisture Determination and Screen Analysis performed at the destination port by CIQ shall be for the Buyer's account.

      CIQ在目的港進行的重量, 取樣, 化學分析, 水分和顆粒分析費用由買方支付.

      CIf the difference between Buyer’s and Seller’s analysis made under the above paragraph of this clause is equal to or less than 0.8%, then the CIQ’s results shall be regarded as final for the Final Commercial Invoice.

      如果買賣雙方的檢測結(jié)果與條款中的誤差等于或小于0.8%,則以CIQ檢驗結(jié)果為最后余款支付的依據(jù).

      If the difference is more than 0.8% or if there exists a significant difference between the two said analysis in respect of Fe or relevant chemical content, Seller shall consult with Buyer to reconcile such difference.

      如果買賣雙方的檢測結(jié)果與條款中的誤差大于0.8%,包含鐵含量與相關化合物含量,則賣方需征求買方協(xié)調(diào).

      If after consultation between Seller and Buyer the difference cannot be reconciled then at the request of Seller or Buyer, then CCIC at the destination port shall be nominated as an umpire between Buyer and Seller and the certificate of analysis issued by such umpire shall be final for Fe or relevant chemical content. The cost of umpire analysis shall be equally borne by both parties.

      如果雙方無法協(xié)調(diào),則請于卸貨港的CCIC為裁定單位,做為此次檢驗鐵含量與相關化合物含量的最后認定。其仲裁費用由雙方共同承擔支付.

      DThe Buyer, if necessary, will appoint the representative or nominate an independent surveyor at their cost to witness operation at loading port. Similar facility will be extended to the Seller at the destination port.

      如有必要,買方可派代表或提名一個獨立的檢測機構(gòu)于裝貨港進行見證,同樣的方式適用于賣方在卸貨港的情況.

      CLAUSE 10: SHIPPING/UNLOADING TERMS  條款十: 船運/卸貨條款

      NOTICE OF DELIVERY 交貨通知

      The Seller shall advise the Buyer in 5 five days before the planned delivery, so that the Buyer may take delivery. The Seller shall immediately notify the Buyer of any change to the delivery date that has been previously notified.

      賣方應于出貨的5天前通知買方,如上述出貨日期有任何變動賣方應立即通知買方.

      UNLOADING TERMS 卸貨條款 CQD.  卸貨條款為CQD。

      Notice of Readiness to be delivered at anytime, day or night, Sundays and holidays included, WIBON, WCCON, WFPON, whether shipping documents have been presented to the Buyer/Buyer’s bank or not prior to arrival of vessel and in all respect ready to discharge.  Laytime shall commence 12 hours after tendering of NOR, unless discharging commences earlier, in which case time actually used to count. In case discharging has to be interrupted due to the responsibility of the vessel, such time lost shall not count as laytime.

      卸貨準備通知書可以在任何時候提交,包括白天與黑夜,周末,假日,無論泊位與否,無論清關與否,無論是否辦理船舶入境檢疫證,無論單據(jù)是否已在船只到達前遞交買方或買方銀行,只要船只已做好卸貨準備。卸貨時間從發(fā)出卸貨準備通知書后12小時開始計算,除非提前卸貨,卸貨時間按實際使用的時間計算。由于船舶原因?qū)е滦敦浿袛嗖挥嬋胄洞瑫r間。

      The Seller shall instruct the shipping company to discharge the cargo with LOI signed by Buyer, if original B/L does not reach destination port as/when vessel arrives.

      倘若正本提單沒法按時到港,賣方應指示船運公司憑買方簽署賠償保證書卸貨。

      CLAUSE 11: ADVISE OF SHIPMENT  條款十一: 裝船通知

      The Seller shall, upon completion of loading at final loading port, advise Buyer within 5 five working days by cable/telex/fax of the contract number, name of commodity, weight, name of vessel, bill of lading number, loading and sailing date, and date of estimated arrival at destination port.

      賣方將在裝貨完成后5五個工作日內(nèi)將合同號碼, 商品名稱, 重量,船名, 提單號碼, 裝船和啟航日期, 預計到達目的港的日期, 用電報,電傳或傳真等方式通知買方.

      CLAUSE 12: INSURANCE條款十二: 保險

      To be covered by the Buyer from the time ore is loaded on board the vessel.

      賣方負責購買鐵礦石裝船后的保險.

      CLAUSE 13: TITLE AND RISK 條款十三: 所有權(quán)及風險

      The title with respect to shipment shall pass from Seller to Buyer when Seller receives reimbursement of proceeds from the issuing bank through the negotiating bank against the relative shipping documents as set forth in Clause 7 after completion of loading on board the vessel at loading port with effect retrospective to the time of delivery of ore. 

      當貨物在裝船港口上船完成,賣方收到押匯銀行根據(jù)本合同第七款規(guī)定的相關文件支付給開戶銀行的付款后,發(fā)運貨物的所有權(quán)與風險將轉(zhuǎn)給買方。

      LOSS OF CARGO 貨物損失

      In the event of a total loss of cargo after loading on board the vessel and before discharging at the destination port, Buyer shall make final payment to Seller on the basis of analysis made at loading port as set forth in Clause 9 hereof and on the basis of price as set forth in Clause 4 and quantity as manifested on the Bill of Lading. In the event of partial loss of cargo after loading on board the vessel and before discharging at the destination port, the weight as manifested in Bill of Lading shall be treated as final .The final analysis for such cargo lost shall be deemed identical with the final analysis of the remaining cargo in the same shipment actually delivered. In case of partial loss, Master’s certificate certifying the fact of loss shall be treated as final.

      如果在貨物裝船后、卸貨港口卸貨之前發(fā)生了貨物的完全損失,買方應根據(jù)本合同第四款的規(guī)定,依據(jù)裝船港口出具的分析報告和裝箱單,向賣方支付最終款項。如果在貨物裝船后、卸貨港口卸貨之前發(fā)生了貨物的部分損失,裝箱單上顯示的貨物重量應被視為最終的數(shù)字。損失貨物的最終分析結(jié)果應被視為與實際交貨的剩余貨物的最終分析結(jié)果相同。當發(fā)生部分損失時,船長出具的損失報告應被視為最終結(jié)果。

      CLAUSE 14: FORCE MAJEURE  條款十四: 其它無法抗拒的情況

      Either Seller or Buyer shall be relieved of and excused from its obligation to perform hereunder during any period that their or its performance is prevented or delayed by Act of God, war, blockade, revolution, riot, insurrection, civil commotion, strike, lockout, fire, flood, storm, tempest or other inclement weather conditions, unforeseen blockade of the access  channel at loading Port, maintenance practice of the port facilities by the duly constituted Port Authority, government restriction, regulation or order,  In the event that such a Force Majeure condition occurs or is anticipated, the party directly affected shall advise the other party by facsimile or telex as soon as possible, and shall then submit a certificate issued by Government Authority or Chamber of Commerce as evidence of the Force Majeure condition within 10 days, if possible, after such Force Majeure condition.  If the Force Majeure lasts over three months, Buyer shall have the right to cancel the tonnage involved. 

      不管賣方或買方在任何時期遇到不能被防止或者不可抗拒的延遲, 如: 戰(zhàn)爭. 堵塞. 革命. 騷動. 起義. 市民的混亂.、罷工.、停業(yè)、火災、 洪水、 風暴. 暴風雨或者其它凜冽的天氣情況. 在裝貨口靠岸所預見到的堵塞. 港務局例行性的港口設備維修. 政府限制. 規(guī)章或者許可. 如果此一不可抗拒條件下發(fā)生或者已可預期, 直接影響的那方需盡快用傳真或者電傳告知另一方,如果可能, 并且在不可抗拒狀態(tài)之后的10天內(nèi), 提交一份由政府機關或者商會所出俱的證明書作為不可抗拒狀態(tài)的證據(jù). 如果不可抗拒持續(xù)超過三個月, 買方將有權(quán)取消有關貨品. 但是賣方無法取得出口許可證致使無法出貨, 將不被認為是不可抗拒的理由.

      CLAUSE 15: ARBITRATION  條款十五: 仲裁

      All disputes in connection with this contract or the execution thereof shall be settled by friendly negotiation taken place in Hong Kong, if no settlement can be reached, the case in dispute shall then be submitted for arbitration to the International Chamber of Commerce in accordance with the Rules of Arbitration of ICC. The decision made by the Commission shall be accepted as final and binding upon both parties. The fee for arbitration shall be borne by the losing party unless otherwise awarded by the commission. The language of the contract and all correspondence, notices, certificates, bill of lading shall be in English. The Laws of English shall be applicable to the contract and any transactions executed hereunder.

      凡與本合同有關所發(fā)生的所有爭議, 買賣雙方應以友好的協(xié)商方式解決. 如無法達成協(xié)議, 應就爭論情況將報請香港國際商會 ICC根據(jù)仲裁規(guī)章提請仲裁。由香港國際商會仲裁所做的裁決結(jié)果, 對雙方都有約束力,且為最后結(jié)果。除仲裁委員會有另行決定外, 仲裁費用由敗訴之一方負擔。所有合同、文件、證明、提單皆以英文書寫。法律條文所使用語言,皆以英文為基準。

      CLAUSE 16: AMENDMENT OF THE CONTRACT 條款十六: 合同修改

      Any amendment or modification to this contract shall be made in writing and subject to conflation by the contracting parties and be considered as an integral part of this contract.

      此合同任何書面的修改應以書面進行, 須得到合同雙方的確認, 并為此合同的一部分,始為有效之修改合約.

      CLAUSE 17: IMPORT LICENSE  條款十七: 進口許可證

      It shall be the Buyer’s obligation and responsibility to prepare and arrange for Import License and other documents required for entry of the contracted goods into P.R. China at their cost.

      此合同的貨物進口中國的入口許可證或其它被要求的文件, 由買方負責準備安排, 并承擔費用.

      CLAUSE 18: EFFECTIVENESS 條款十八: 合同效力

      Each party agrees that present contract may be executed simultaneously by and between the parties via fax or facsimile / E-mail transmission, each of which shall be deemed as original natural carrying full legal effect.

      雙方同意本合同的電子版和傳真版本,都被視為和正本文件有同等的法律效力.

      BOn signing of the present Contract, all previous negotiations and correspondence are considered as null and void.

      此合同一經(jīng)簽署,所有之前的談判及往來信函皆失效及無效。

      In witness whereof this contract is made in duplicate on the date on APR.22, 2014 and the duly authorize representative of the Seller and the Buyer having signed on this day.

      在此見證此合同一式兩份于2014年4月22日達成, 且買賣雙方授權(quán)代表人于此日期簽署。
